Terms of Service

Effective: September 2026

1. Agreement to Terms

By accessing our website or engaging CloudCodeWorkshop for cybersecurity services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These terms constitute a legally binding agreement between you (or your organization) and CloudCodeWorkshop, registered at Am Quarzsprung 15, 56203 Höhr-Grenzhausen, Germany.

2. Scope of Services

CloudCodeWorkshop provides cybersecurity consulting, threat detection, zero-trust architecture design, compliance automation, penetration testing, incident response, security awareness training, cloud security hardening, endpoint detection and response, and managed security operations center (SOC) services. The specific scope of services is defined in individual Statements of Work (SOW) or service agreements executed between the parties.

3. Payment Terms

All service fees are specified in the applicable SOW or invoice. Payments are due within 14 days of invoice date unless otherwise agreed. Late payments may incur a statutory interest rate of 9 percentage points above the ECB base rate. Retainer services (e.g., Managed SOC) are billed monthly in advance. All prices are in USD or EUR as specified.

4. Intellectual Property

Upon full payment, all intellectual property rights in deliverables created specifically for the client (including custom security configurations, reports, training materials, and documentation) are transferred to the client. CloudCodeWorkshop retains ownership of pre-existing tools, methodologies, and frameworks used in service delivery. Each party retains ownership of its respective confidential information.

5. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement. This includes vulnerability assessments, security configurations, incident reports, and business-sensitive data. Confidentiality obligations survive the termination of the agreement for a period of 3 years.

6. Limitation of Liability

CloudCodeWorkshop's total liability under any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities. This limitation does not apply to liability arising from willful misconduct or gross negligence.

7. Termination

Either party may terminate a service agreement with 30 days' written notice. Retainer services may be cancelled with 30 days' notice effective at the end of the current billing period. Termination does not relieve the client of obligations to pay for services already rendered. Sections on confidentiality, intellectual property, and limitation of liability survive termination.
